Terms of Service

These terms of service constitute an addendum to the terms as outlined in Section 26 of the Master Services Agreement (MSA) and outline the current terms of use of the Services ("Terms of Service"). Continued use will be conditioned upon these current terms in force at the time of your use. CLIENT may look for new versions of these Terms of Service by checking internet4associations' web site. CLIENT'S continued use of any Service offered by Internet4associations constitutes an affirmative acknowledgment by CLIENT of the MSA and the terms of service including any subsequent modifications.

These terms of service are a part of and subject to the Master Services Agreement (MSA) between internet4associations and CLIENT and any conflict between these and any provision of the MSA other than section 26 of said MSA shall resolve in favor of the MSA.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding addendum to the MSA between you (the "CLIENT," "Customer", "you," or "your") and D. W. Rome, Incorporated, doing business as internet4associations and i4a ("i4a," "we," "us," or "our"), governing your access to and use of i4a's membership management software platform, including all associated websites, mobile applications, and services (collectively, the "Services").

By creating an account, accessing, or using any part of our Services, you affirm that you are legally competent and authorized to enter into this Agreement on behalf of your organization. If you do not agree to these Terms, you must not access or use our Services.

2. Definitions

Throughout these Terms, the following definitions apply:

• "Services" means i4a's membership management software platform and all related features, tools, and functionality.
• "CLIENT, Customer, your or your" refers to the organization or entity that has subscribed to use i4a's Services.
• "Customer Data" means any data, content, or information that Customer uploads, submits, or otherwise makes available through the Services.
• "Member" refers to end-users who access your organization's member portal or website powered by i4a.
• "Agreement" means these Terms of Service, including all appendices and referenced policies.

3. Services and Account Registration

3.1 Service Description

i4a provides cloud-based software designed for professional associations, trade associations, nonprofit organizations, and association management companies. Our Services include member database management, event registration, online payments, email communications, website hosting, and related functionality.

3.2 Account Registration

To use our Services, you must create an account by providing accurate, complete, and current information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach
• Ensuring that all users accessing your account are authorized and comply with these Terms

3.3 Account Eligibility

You must be at least 18 years of age and have the legal authority to bind your organization to this Agreement. Accounts registered by automated methods or on behalf of prohibited entities are not permitted.

4. Customer Responsibilities and Acceptable Use

Use of this service may only be for lawful purposes. Transmission of any material in violation of any US or state laws or regulations is prohibited. This includes, but is not limited to: copyrighted material, material legally judged to be threatening or obscene, or material protected by trade secret.

CLIENT understands that all information, data, text, software, music, sound, photographs, graphics, video, messages or other materials ("Content"), whether publicly posted or privately transmitted using the Services, is the sole responsibility of the CLIENT or the person from which such Content originated.

CLIENT shall be responsible to screen all Content and e-mail attachments for viruses.

For Customers subject to GDPR or CCPA, Customer acts as data controller and i4a as data processor as defined in the DPA.

Late payments may accrue interest and collection costs as described in the MSA.

Confidentiality obligations set forth in the MSA apply to all use of the Services, including AI-related inputs and outputs.

By using the Services, Customer consents to receive service-related communications. Marketing communications are governed by the Privacy Policy and may be managed through unsubscribe links or account preferences.

4.1 Prohibited Activities

CLIENT agrees to not use the Service to:

1. upload, post, email, transmit or otherwise make available any Content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable;
2. harm minors in any way;
3. impersonate any person or entity, including, but not limited to, Internet4associations personnel or otherwise misrepresent CLIENT's affiliation with a person or entity;
4. forge headers or otherwise manipulate identifiers in order to disguise the origin of any Content transmitted through the Service;
5. upload, post, email, transmit or otherwise make available any Content that CLIENT does not have a right to make available under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);
6. upload, post, email, transmit or otherwise make available any Content that infringes any patent, trademark, trade secret, copyright or other proprietary rights ("Rights") of any party;
7. upload, post, email, transmit or otherwise make available any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of unauthorized solicitation;
8. charge a fee to third parties to transmit email on their behalf; commercial use of broadcast email is specifically prohibited.
9. upload, post, email, transmit or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
10. interfere with or disrupt the Service or servers or networks connected to the Service, or disobey any requirements, procedures, policies or regulations of networks connected to the Service;
11. intentionally or unintentionally violate any applicable local, state, national or international law, including, but not limited to, regulations promulgated by the U.S. Securities and Exchange Commission, any rules of any national or other securities exchange, including, without limitation, the New York Stock Exchange, the American Stock Exchange or the NASDAQ, and any regulations having the force of law; or
12. Process financial transactions via the web site (i.e. Dollar sales of service, product, registration or otherwise) unless processed through a third-party on-line payment service, approved by Internet4associations, with an internet approved merchant processing account.
